Definition:

1. We/our/us: The English Bank
2. Users/Student(s)/You/Your: The Subscriber who creates and account with The English Bank. 
3. Terms: These Terms of Use

The English Bank mission is to make English Language learning easy and to provide easy access to learning modules/materials to everyone. This enables anyone from anywhere within Sri Lanka to gain access to these unique educational content offered by The English Bank through a very special and unique methodologies and techniques shared by the English Bank Wasala Sir. We consider our marketplace model the best way to offer valuable educational content to our users. We need rules to keep our platform and services safe for you, us, and our users/students and the English Bank Wasala Sir. These Terms apply to all your activities on The English Bank mobile applications (“Services”).

1. Accounts

1.1 To access the course material (Free or Premium) you need to create an account on our platform. 

1.2 Only one account can be made using a valid phone number.

1.3 Using this account you will have a view option for both Free course contents and the Paid Course contents. 

1.4. A valid phone number is required to create an account with the The English Bank App. The details shall be verified through the phone number provided by you with a ONE TIME PASSWORD (OTP) 

1.5 You may not transfer your account to someone else or use someone else’s account. If you contact us to request access to an account, we will not grant you such access unless you can provide us with the information that we need to prove you are the owner of that account. In the event of the death of a user, the account of that user will be closed.

1.6 You may not share your account login credentials with anyone else. You are responsible for what happens with your account and The English Bank will not intervene in disputes between users who have shared account login credentials. 

1.7 You can terminate your account at any time by following the steps here. Check our Privacy Policy to see what happens when you terminate your account.

2. Course Registration

2.1. All those who have created an account will be granted access to the wide range of course materials that are made available within the Free Course Category and the Premium Course category. 

2.2. Upon signing-in to our The English Bank platform you will be required to agree and accept these Terms of Use and our Privacy Policy which will be made available to you at the time of signing-in to your account. 

2.3. Only upon accepting these Terms and Privacy Policy you will be granted access to the course material. Please do not try to transfer or resell content in any way. 

2.4. The English Bank grants you (as a student) a limited, non-exclusive, non-transferable access to view the content for which you have paid all required fees, solely for your personal, non-commercial, educational purposes through the Services, in accordance with these Terms and any conditions or restrictions associated with the particular content or feature of our Services. 

2.5. All other uses of this APP are expressly prohibited. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any content unless we give you explicit permission to do so in a written agreement signed by The English Bank authorised representative. 

2.6. We grant access to the course content only for the course period to which the  users have paid for. However, we reserve the right to revoke access and use any content at any point in time in the event where we decide or are obligated to disable access to the content due to legal or policy reasons, for example, if the course or other content you subscribed for is in the object of a copyright complaint, or if we determine it violates our terms and conditions and the privacy policy. 

3. Payments, Credits, and Refunds

3.1 Pricing

3.1.1. The prices of the content on The English Bank are pre-determined and as displayed within the course content. The prices are inclusive of applicable taxes as per the laws prevailing in Sri Lanka at the time of purchase. 

3.1.2. The price applicable to the content will be the price at the time you complete your purchase of the content (at checkout). Any price offered for particular content may also be different when you are logged into your account from the price available to users who aren’t registered or logged in. 

3.1.3. The English Bank may from time to time make available discounted offers for new users or other users. These prices may have a short term validity and shall be only applicable for those who want to sign-in for that particular course within the given time period. 

3.2 Payments

3.2.1. You agree to pay the course fees for the particular course you wish to follow. Once you select the desired course and proceed with the payment page, you will be directed to the page where our Bank details will be displayed. You can either make the payment by Direct Deposit or  Online transfer and produce the copy of the payment slip via the whatsapp number we provide or through the APP. Our back office will verify such payment and post confirmation shall activate the course content. Each user will be provided with a unique payment code which needs to be written on the payment slip. 3.2.2. When you make a purchase, you agree not to use an invalid or unauthorised payment method. If your payment method fails and you still get access to the content you are enrolling in, you agree to pay us the corresponding fees within thirty (30) days of notification from us. We reserve the right to disable access to any content for which we have not received adequate payment.

3.3 Refunds and Cancellation

3.3.1. Upon payment completed towards a particular course or courses, your course content will be available from the date of acknowledgement of the payment. The English Bank considers that upon payment completed the entire course content you have subscribed for are accessible to you for the period of the course time as applicable. Hence,  pursuant to our terms of use and Privacy Policy The English Bank retains the No Refund Policy.  

4. The English Bank’s Rights

4.1. The English Bank and its Services logos, API, code, and the entire contents are solely owned by The English Bank. You can’t tamper with those or use them without authorization.

4.2. All right, title, and interest in The English Bank platform, the Get Vision App and Services, our APIs, databases, and the contents, the Teaching Methods are and will remain the exclusive property of Mr. Wasala Mudiyanselage Swarna Sri Vijaya Bandara Wasala. 

4.3. Our platforms and Services are protected by copyright, trademark, and other applicable laws of Sri Lanka. 

4.4. Nothing gives you a right to use The English Bank name or any of the The English Bank trademarks, logos, domain names, and other distinctive brand features. Any feedback, comments, or suggestions you may provide regarding The English Bank or the Services is entirely voluntary and we will be free to use such feedback, comments, or suggestions as we see fit and without any obligation to you.

5. Course Terms

5.1. Every user who creates an account with The English Bank and signs-in to use the services of The English Bank shall note that under the free course and the paid course a course period will be applicable. Once the course period comes to an end the user shall not have any access to such course content. If the user wishes to obtain access, the user shall once again make a payment to restart the course.  

5.2. During this course term, under the free course, the user will be able watch a course video for an unlimited amount of time. However, under the paid course the number of times a course video can be watched is limited to 5 times. 

6. Account Management

6.1. This application is not using the Subscription method, it’s a course-based full payment at once, once paid it cannot be cancelled at any time. Once paid for the course, the course will be active for the duration of the course.

6.2. Users have  the option of deleting the user account , the company will only be able to retain the data as per the Privacy Policy and the prevailing laws in the country regarding record retention.

7. Miscellaneous Legal Terms

7.1 Binding Agreement

7.1.1 You agree that by registering, accessing, or using our Services, you are agreeing to enter into a legally binding contract with The English Bank. If you do not agree to these Terms, do not register, access, or otherwise use any of our Services.

7.1.2. Any version of these Terms in a language other than English is provided for convenience and you understand and agree that the English language will prevail if there is any conflict.

7.1.3. These Terms (including any agreements and policies linked from these Terms) constitute the entire agreement between you and us.

7.1.4. If any part of these Terms is found to be invalid or unenforceable by applicable law, then that provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms will continue in effect.

7.1.5. The failure by us to enforce at any time any of the provisions of this Agreement shall not be considered to be waiver of any other provisions or any subsequent breach of the same provision. Waiver, if any, shall be in writing, signed by the then duly authorised signatory of the The English Bank.

7.2 Disclaimers

7.2.1. The Services and their content are provided on an “as is” and “as available” basis. We make no representations or warranties about the suitability, reliability, availability, timeliness, security, lack of errors, or accuracy of the Services or their content, and expressly disclaim any warranties or conditions (express or implied), including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. 

7.2.2. We (and our affiliates, suppliers, partners, and agents) make no warranty that you will obtain specific results from use of the Services. Your use of the Services (including any content) is entirely at your own risk. 

7.2.3. We may decide to cease making available certain features of the Services at any time and for any reason. Under no circumstances will The English Bank or its affiliates, suppliers, partners or agents be held liable for any damages due to such interruptions or lack of availability of such features.

7.2.4. We are not responsible for delay or failure of our performance of any of the Services caused by events beyond our reasonable control, like an act of war, hostility, or sabotage; natural disaster; electrical, internet, or telecommunication outage; or government restrictions.

7.3 Limitation of Liability

7.3.1. To the extent permitted by law, we (and our group companies, suppliers, partners, and agents) will not be liable for any indirect, incidental, punitive, or consequential damages (including loss of data, revenue, profits, or business opportunities, or personal injury or death), whether arising in contract, warranty, tort, product liability, or otherwise, and even if we’ve been advised of the possibility of damages in advance. 

7.3.2. Our liability (and the liability of each of our group companies, suppliers, partners, and agents) to you or any third parties under any circumstance is limited to the amount you have paid us for the subscription giving rise to your claims. 

7.4 Indemnification

You agree to indemnify, defend (if we so request), and hold The English Bank harmless, our group companies, and their officers, directors, partners, and staff from and against any third-party claims, demands, losses, damages, or expenses (including reasonable attorney fees) arising from (a) your use of the Services (b) your violation of these Terms, or (c) your violation of any rights of a third party. Your indemnification obligation will survive the termination of these Terms and your use of the Services.

8. Governing Law and Jurisdiction

8.1. These Terms shall be governed by and construed in accordance with applicable laws of Sri Lanka and any dispute arising from the subject matter of these Terms shall be adjudicated in the Court of competent jurisdiction in Sri Lanka. 

8.2. For the purpose of this Agreement the Electronic Transaction Act No. 19 of 2006 as amended shall apply where necessary. 

9. Legal Actions and Notices

9.1. No action, regardless of form, arising out of or relating to this Agreement may be brought by either party more than one (1) year after the cause of action has accrued, except where this limitation cannot be imposed by law.

9.2. Any notice or other communication to be given hereunder will be in writing and given by registered or certified mail return receipt requested, or by email to us through [email protected] 

10. Dispute Resolution

If the dispute cannot be amicably resolved through the courts, you and The English Bank agree to resolve any claims related to these Terms (or our other legal terms) through final and binding arbitration, regardless of the type of claim or legal theory. If one of us brings a claim in court that should be arbitrated and the other party refuses to arbitrate it, the other party can ask a court to force us both to go to arbitration (compel arbitration). Either of us can also ask a court to halt a court proceeding while an arbitration proceeding is ongoing.

11. No Class Actions

We both agree that we can each only bring claims against the other on an individual basis. This means: (a) neither of us can bring a claim as a plaintiff or class member in a class action, consolidated action, or representative action; (b) an arbitrator can’t combine multiple people’s claims into a single case (or preside over any consolidated, class, or representative action); and (c) an arbitrator’s decision or award in one person’s case can only impact that user, not other users, and can’t be used to decide other users’ disputes. If a court decides that this “No class actions” clause isn’t enforceable or valid, then this “Dispute Resolution” section will be null and void, but the rest of the Terms will still apply.

12. No Assignment

You may not assign or transfer these Terms. We may assign these Terms to another company or person without restriction. Nothing in these Terms confers any right, benefit, or remedy on any third-party person or entity. You agree that your account is non-transferable and that all rights to your account and other rights under these Terms terminate upon your death.

13. Updating These Terms

From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and The English Bank reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If we make any material change, we will notify you using prominent means, such as by email notice sent to the email address specified in your account or by posting a notice through our Services. Modifications will become effective on the day they are posted unless stated otherwise.

Your continued use of our Services after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.
